These terms govern access to and use of the ascendneurolllc.com website and any preliminary inquiry channel operated by Ascend Neural, LLC ("Ascend Neural", "we", "us"). Engagements for delivered services are governed by a separate, signed Master Services Agreement ("MSA") which prevails in case of conflict.

By accessing the website or submitting an inquiry, you agree to these terms. If you do not agree, please do not use the website.
2. Eligibility
You must be at least 18 years old and authorized to act on behalf of any organization you represent. Use of our services is intended for business and professional purposes.
3. Services described on the website
Service descriptions on ascendneurolllc.com are informational and do not constitute an offer or binding commitment. Specifications, deliverables, timelines, and pricing for any engagement are defined exclusively in an executed Statement of Work attached to the MSA.
4. Intellectual property
The website, including its design, copy, and code, is the property of Ascend Neural, LLC and is protected by applicable intellectual property laws. The "Ascend Neural" name and logo are trademarks of the company.
For engagements, IP ownership of deliverables, foreground IP, and background IP is allocated as set out in the applicable MSA. Unless otherwise agreed, custom models and code authored exclusively for a client are assigned to that client upon final payment.
5. Acceptable use
You agree not to:
- Use the website to violate any law or third-party right.
- Attempt to gain unauthorized access to our infrastructure or interfere with site availability.
- Scrape, copy, or republish substantial portions of the site without written permission.
- Submit information that is false, misleading, or that you have no right to disclose.
6. Confidentiality
Information you submit through the inquiry form is treated as confidential to the extent it is non-public and reasonably understood as such. We will not disclose it outside Ascend Neural except to evaluate and respond to your request, or as required by law.
7. Third-party services
Our services may rely on third-party platforms (cloud, model providers, observability). Where this is the case, applicable third-party terms apply in addition to ours. We select subprocessors with care and disclose them on request.
8. Disclaimers
The website is provided "as is" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Use of any AI-generated content is at your own risk; we recommend human review before relying on it for high-stakes decisions.
9. Limitation of liability
To the maximum extent permitted by law, Ascend Neural, LLC and its members, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or in connection with use of the website. For paid engagements, liability is capped per the MSA.
10. Indemnification
You agree to defend, indemnify, and hold harmless Ascend Neural, LLC from any claims arising out of your unauthorized use of the website or your violation of these terms.
11. Governing law & venue
These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. Exclusive venue for disputes arising from these website terms lies in the state or federal courts located in Wyoming, unless otherwise required by the MSA or by mandatory consumer-protection laws of your jurisdiction.
12. Changes
We may update these terms from time to time. Continued use of the website after changes are posted constitutes acceptance of the revised terms.
