Policy 02 · Cancellation

Cancellation Policy.

This policy explains how to cancel an engagement with Ascend Neural, LLC, the notice periods that apply, and what happens to your data, models, and deliverables when the relationship ends. Where a signed Master Services Agreement ("MSA") exists, the MSA prevails over this page.

1. How to cancel

Send a written notice to support@ascendneurolllc.com from a verified email address associated with your account. The notice should include the engagement name, the requested effective date, and (optionally) the reason for cancellation. We acknowledge cancellation notices within two business days.

2. Discovery & one-off consultations

You may cancel a scheduled consultation up to 48 hours before the session for a full refund or rescheduling at no cost. Cancellations made within 48 hours of the session are non-refundable but may be rescheduled once at our discretion.

3. Project-based engagements

For fixed-scope engagements under a Statement of Work ("SOW"):

4. Monthly retainers

Retainers renew automatically each month. To prevent the next renewal, send written cancellation notice at least 10 calendar days before the renewal date. Cancellation takes effect at the end of the current billing cycle, and access to deliverables, model endpoints, and support continues through that cycle.

Retainer fees for the current cycle are not prorated on cancellation, because retainers reserve capacity that cannot be reallocated mid-cycle.

5. Annual or multi-month plans

If you have prepaid for an annual or multi-month plan at a discount, cancellation before the end of the committed term results in:

6. What happens to your data

On cancellation, you have a 30-day export window during which we make your data, custom prompts, fine-tuned weights (where contractually assigned to you), and audit logs available for export in a commonly used format. After the export window, we permanently delete client-tenant data unless retention is required by law or expressly extended by the MSA.

7. Deliverables & IP

Final deliverables that have been paid for and accepted remain yours per the IP assignment terms of your MSA. Background IP, internal tooling, and reusable orchestration patterns developed by Ascend Neural remain our property and may be reused on future engagements.

8. Pause vs. cancel

If you need a temporary break rather than full termination, ask about pausing instead of cancelling. We offer paused-status arrangements (typically 1 – 3 months) that preserve your environment, data, and model configuration at a reduced fee. Pause terms are confirmed in writing on a case-by-case basis.

9. Effect of cancellation on outstanding invoices

Cancellation does not relieve you of the obligation to pay any invoice or milestone that has become due before the effective cancellation date. Late-payment terms in the MSA continue to apply.
