Promotions Terms.
From time to time Ascend Neural, LLC may offer promotional pricing, pilot discounts, founder rates, referral credits, or other special offers (each a "Promotion"). These standing terms apply to every Promotion, in addition to any Promotion-specific terms communicated at the time of the offer. If specific terms conflict with these general terms, the Promotion-specific terms prevail for that Promotion only.

1. Eligibility
Promotions are offered to legitimate business customers ("Eligible Customers"). Unless explicitly stated otherwise:
- Promotions are available only to new clients who have not previously signed a Master Services Agreement with Ascend Neural.
- Promotions are limited to one per customer and may not be combined with other Promotions, partner rates, or negotiated discounts.
- Promotions are not available to clients in restricted jurisdictions or to restricted parties listed in our Export & Legal Restrictions.
2. Duration & expiry
Every Promotion has a defined start and end date communicated in the offer. Promotions may also have a cap on the number of redemptions. Once the time window closes or the cap is reached, the Promotion is no longer available, even if it remains visible in older communications.
3. How to redeem
To redeem a Promotion, reference the specific Promotion code or name in your written reply to your proposal, or in the inquiry message you submit on this site. Discounted pricing is applied on the first invoice for the qualifying engagement. We may request documentation (for example, a referral source confirmation) before applying the Promotion.
4. Pilot pricing
"Pilot" Promotions reduce fees for a defined initial period (typically one engagement cycle) in exchange for:
- An agreement to provide structured feedback on the service.
- Permission to mention your engagement in our marketing in a manner you approve in writing.
- Automatic transition to standard pricing at the end of the pilot, unless cancelled before renewal.
You may decline marketing mention without losing the pilot rate by stating so in writing at the time of redemption.
5. Referral credits
If we run a referral program, credits are awarded only when:
- The referred party becomes a paying client and remains a paying client for the period stated in the program (typically 60 days).
- Both the referrer and the referred party comply with these terms and all applicable laws.
Credits are non-transferable, have no cash value, and expire if unused within 12 months of issuance.
6. No cash equivalent
No Promotion may be exchanged for cash, refunded as cash, or transferred to a third party. Where a Promotion is described as a "discount," it reduces the price of the qualifying service; it is not a cash credit.
7. Taxes
Promotions apply to the pre-tax price of services. Sales, value-added, and similar taxes — where applicable — are calculated on the discounted price and remain the responsibility of the client.
8. Modification & withdrawal
Ascend Neural reserves the right to modify, suspend, or terminate any Promotion at any time, including for suspected fraud, abuse, or misuse. We will honor Promotions already redeemed before the modification, subject to these terms.
9. Disqualification
We may disqualify any participant from a Promotion if, in our reasonable judgment, the participant:
- Has provided false or misleading information.
- Has attempted to manipulate the Promotion through multiple accounts, automation, or other inauthentic means.
- Is in breach of our Terms of Service or applicable Master Services Agreement.
10. Compliance with law
Promotions are void where prohibited or restricted by law. Where local consumer-protection or advertising law requires specific disclosures, those disclosures will be included in the Promotion-specific terms.
